Property Manager Addendum

This Property Manager Addendum supplements the Avery Terms of Service for individuals or entities acting as property managers.
1. Definitions
- Tenants: Individuals renting units you manage.
- Owners: Property owners whose assets you manage.
- Vendors: Service providers you engage for work.
- End Users: Tenants, owners, vendors, and others interacting through Avery.
2. Role of Starlight
- Starlight provides Avery as a technology platform only.
- We are not a party to leases, not an escrow agent, and do not provide legal or compliance advice.
3. Manager Responsibilities
- Ensure all listings and communications are accurate and lawful.
- You must be authorized by property owners to manage properties and share data.
- You are responsible for tenant communication compliance (including TCPA).
- Maintain compliance with data protection laws.
- Maintain your own records; Avery does not guarantee data retention.
- Manage access for authorized employees only.
4. Payment Handling
- Avery facilitates rent collection via third-party processors like Stripe.
- You are responsible for correct remittance of funds.
- Payment disputes are between you and End Users.
- You are responsible for taxes and fees.
5. Compliance with Law
- Comply with all housing, tenant, and fair housing laws.
- Comply with financial and consumer protection regulations (FCRA, ECOA).
- Maintain reasonable data security safeguards and notify Starlight of breaches.
6. Use of Tenant and Owner Data
- Use End User data only for legitimate property management purposes.
- Do not sell or rent End User data.
- You authorize Starlight to use data to improve AI and system functionality per our Privacy Policy.
- Honor deletion requests as required by law.
7. Warranties and Indemnification
You represent that:
- You have rights and authority to use the Services for each property.
- You will comply with all applicable laws.
- You will not violate third-party rights or privacy obligations.
You agree to indemnify Starlight from claims arising from your management practices, relationships, or breaches.
8. Limitation of Liability
Starlight's liability is limited to fees paid in the 12 months preceding the claim. We are not liable for indirect damages or losses from tenant disputes, property conditions, or payment failures.
9. Termination
Starlight may suspend or terminate access for violations, risk to End Users, or regulatory requirements. Upon termination, all licenses cease.
10. Arbitration and Governing Law
This Addendum is governed by Texas law. Disputes are subject to binding arbitration in Travis County, Texas.
11. Amendments
Starlight may update this Addendum by posting a new version. Continued use constitutes acceptance.
